Funding An Acquisition

Acquisition funding is rarely one facility. It is a stack: senior debt against cash flow or property security, a vendor component, sometimes an earn-out, sometimes third-party equity. The stack decides whether the business survives its first year under new ownership.

Structure Before Price

Buyers focus on the multiple. Lenders focus on the quality of earnings, customer concentration, key-person risk and how much of the price is funded by debt. We test the deal the way a credit committee will before the offer goes in, so the funding does not fall over after exclusivity.
