Buyers pay for verified, repeatable earnings — not potential. The work that lifts value happens 12–24 months before a sale: normalising earnings, cleaning up the balance sheet and removing owner-dependency.
Normalised earnings means stripping out one-offs, owner perks and non-commercial arrangements so a buyer can see the true trading performance. Clean, reconciled numbers build trust and support a stronger multiple.
Structure matters too. Tidy entities, documented contracts with key customers and staff, and resolved compliance issues all reduce the discount a buyer applies for risk.
Finally, buyer-ready documents — an information memorandum, financial packs and a clear data room — keep momentum once a buyer is at the table. Deals die in delays; preparation keeps them alive.
