Trust vs. company: which structure should hold your next asset?

Asset protection, tax flexibility and lending access all shift depending on whether you buy through a trust, a company, or both.

A discretionary trust lets a trustee distribute income among beneficiaries each year, which is powerful for splitting income across a family group and for asset protection — assets held by the trust aren't, in the ordinary case, the personal assets of a beneficiary facing a claim. The trade-offs are real too: trusts can't carry forward tax losses the same flexible way companies can, and land tax treatment varies by state in ways that catch people out.

A company pays a flat corporate tax rate regardless of profit level, which can beat marginal personal rates at higher income, and offers limited liability to its shareholders. What it doesn't offer is income-splitting flexibility — profit is taxed in the company, and getting money out to shareholders triggers its own tax consequences, usually via franked dividends.

Many structures combine both: a company acting as trustee of a discretionary trust, which pairs the trust's distribution flexibility with the limited-liability shield of a corporate trustee, so personal assets sit outside the structure entirely. It's more setup and more ongoing compliance, but for anything beyond a simple single-asset purchase it's usually worth it.

Lending is the piece people underestimate: fewer lenders are comfortable financing trusts and companies, and those that are apply different servicing rules and want to see the trust deed and guarantor structure before they'll quote. Getting the structure right before you need to borrow against it — not after — is what keeps the next purchase from being blocked by this one. TransformBiz sets up trust structures in-house, coordinated with your accountant and lawyer.
